1.Introduction

CommunitiWorks is a community-driven, referral-powered service network connecting individuals, service providers, partners, and local businesses. Our platform helps communities thrive by fostering trusted connections and shared opportunities.

These Terms of Service ("Terms") apply to all users of the network, including clients, providers, business affiliates, and partners (collectively, "Users").

By accessing or using CommunitiWorks (the "Network"), you agree to these Terms. Our goal is to provide a safe, transparent, and self-regulating platform where trust and mutual respect are the foundation of all interactions.

2.User Roles & Responsibilities

Core Expectations

All Users are expected to act responsibly, honestly, and respectfully.
Maintaining trust, confidentiality, and legal compliance is essential.

Confidentiality

All personal and service-related information must be treated as strictly confidential.
Client data is highly sensitive and must not be shared outside the Network or accessed beyond what is necessary for service fulfillment.
Providers may not store, resell, or misuse client information.
All data shared via the Network is solely for coordinating and completing service requests.

Communication

Users must provide accurate and truthful information about services, availability, and credentials.
Referrers are responsible for posting clear and accurate service requests.
Misleading or incomplete requests may result in delayed service, disputes, or account suspension.

Compliance

Users must comply with all applicable laws, regulations, and local ordinances.
Providers act as independent business entities and are solely responsible for their operations, pricing, communications, taxes, and legal compliance.
The Network is not an employer, broker, or agent.

Accountability

Users are responsible for all activity conducted under their account.

Service Request Handling

Providers see only a summary of service requests, with personal client information withheld.
Providers may notify clients of interest via the Network's messaging form, which forwards the provider's message without revealing client contact information.
Client contact details are released to providers only after client acceptance.
By using the Network, clients consent to receive automated email notifications and related communications regarding service requests and provider interest.

Consequences for Misuse

Violating responsibilities including data misuse, falsifying information, or inappropriate conduct may result in account suspension, termination, or other corrective measures.
In serious or repeated cases, the Network may flag accounts internally or publicly where legally permissible.

Network Rights & Updates

The Network may modify responsibilities, rules, or enforcement practices at any time.
Users will be notified of material changes.
Payments, referral shares, or other benefits are subject to Network policies and Stripe processing.
By using the Network, Users agree to uphold these responsibilities and maintain a professional, trustworthy, and self-regulating community.

3.Account Creation & Security

Account Requirements

Accounts are required for partners, providers, and business affiliates.
Each account is unique to the individual and role.
Clients may submit service requests without an account. A free account can also be created mid-request and completed later in the dashboard. An account is required for referral codes and activity tracking.

Required Information by Role

Partners & Clients: Name, email, preferred contact method, city, state.
Businesses: Business name, phone, email, preferred contact method, category, type, optional address.
Providers: Name, email, preferred contact method, city, state, services offered, service types, availability, optional business address.

Security Responsibilities

Users are responsible for account credentials and activity.
Strong passwords are required. Two-factor authentication (2FA) is encouraged.
Users must notify the Network immediately if they suspect unauthorized account access.
Only one user may be signed in per account at a time; any activity is assumed authorized unless proven otherwise.

Account Activity & Termination

Inactive accounts may be removed after 90 days; users may reactivate at any time.
Accounts may be suspended or terminated for misuse, security risks, or actions that harm the Network or users.
Users agree to maintain account security and comply with these responsibilities.

4.Service Use

Submitting Requests

Any user may submit a service request, with or without an account.
Requests must include sufficient information for providers to evaluate and fulfill them.
Submitting a request does not guarantee provider acceptance.
Users may not post fake requests, spam, or solicit clients outside the Network.

Viewing & Accepting Requests

Only providers may accept requests.
Providers initially see general details (e.g., city, state) and may notify clients of interest via the Network's messaging form.
Providers agree to fulfill service requests according to the listing details including scope, pricing, and timeline, and to maintain professionalism and service quality.
Clients have full discretion to accept or decline providers.

Provider Promotions and Offers

Providers may include promotional messages or service offers in client notifications.
All such promotions must be truthful, not misleading, and comply with advertising and consumer-protection laws.
Providers are solely responsible for the accuracy of any promotional content.
Promotions may not be used to solicit clients to transact outside the Network.
The Network may remove or edit promotional content it deems false, deceptive, or inconsistent with these Terms.
Repeated violations may result in suspension or removal.

Active & Completed Requests

Accepted requests appear in the provider's dashboard as Active Requests.
After service completion and payment, requests move to Completed Requests, and client information is no longer visible.
Providers may retain general request details for reference.
By submitting a completion form, providers attest that all services have been performed to the best of their professional ability, that any required photos or documentation are truthful and accurate, and that there are no known unresolved client issues at the time of submission.
False or misleading submissions may result in suspension or removal.

Privacy & Confidentiality

Client data is highly sensitive; providers must maintain strict confidentiality.
Misuse of client information or tampering with Network data may result in suspension, termination, or other corrective measures.

Disclaimers & Limitations

Participation is voluntary; the Network does not guarantee request availability, provider acceptance, payment, or satisfaction.
Users are encouraged to verify details such as certifications, insurance, or availability.
The Network is not liable for service outcomes or disputes arising outside the Network.

5.Payments & Referral Shares

All payments are processed securely through Stripe.

Payment Processing

Clients pay network-generated invoices, including provider fees, referral shares if applicable, Stripe fees, and the Network's fee.
Providers receive payment after service completion, submission of the completion form, and client payment.
Providers must generate or confirm an official Network invoice for each completed service request.
These invoices may be reviewed for business, client, or tax compliance.

Referral Shares

Referral codes are optional. No user, business, or organization is required to have or use one.
Referral shares apply only if a valid referral code is used on a request.
Only one referrer per request.
Referral percentages by service tier: Express: 3% (cap $0), Standard: 5% (cap $25), Extensive: 5% (cap $50).
Referral earnings are calculated automatically and paid following completion of the service and submission of the provider's invoice.
Users may apply their own referral code to their own service requests. This allows users to earn the referral fee on services they book for themselves.

Network Fees

Fees depend on service type: currently 9% to 12%.
Providers may reduce fees by completing requests through the Network.
First discount after 5 completed requests. Final discount after 10 additional completed requests.
Discounted range: 7% to 9.5%.

Payout Timing & Conditions

Standard payout occurs 2 days after client payment to allow for dispute resolution.
Fast Pay is optional; requires client approval and allows immediate processing. Providers handle any refunds or partial refunds under Fast Pay.
Disputes during the 2-day window may result in funds being held; the Network may approve, deny, or partially refund as necessary.

Disclaimers

The Network is not responsible for disputes or satisfaction issues outside the platform.
Payment structures, referral shares, and fees may be updated; users will be notified of material changes.

6.Account Termination, Suspension & Dispute Resolution

Grounds for Suspension or Termination

Misuse of client or provider data
Tampering with records or automation
Inappropriate conduct or harassment
Any behavior threatening the Network's integrity, safety, or trust
Inactive accounts may be deactivated; reactivation is allowed

Enforcement Process

Minor violations: warnings generally issued.
Serious violations: immediate action.
Users notified immediately; appeals considered, but final decisions are at the Network's discretion.

Payment & Service Disputes

The Network intervenes only during the 2-day post-payment window if a dispute arises.
Partial or full refunds may be issued based on issue severity.
Stripe, provider, and referral fees are generally maintained unless extreme circumstances warrant otherwise.
Providers and clients are encouraged to resolve concerns directly outside the window.

Internal Monitoring

Accounts may be monitored for compliance and safety.
Ratings, reviews, and performance histories inform reliability; accounts are not publicly flagged.

7.General Legal & Liability Disclaimers

The Network facilitates connections; it is not a party to service agreements between clients and providers.
Users must verify credentials, certifications, insurance, and other relevant details.
Providers are expected to carry appropriate business insurance.
The Network provides information to assist decisions but does not guarantee quality, availability, or timeliness.
Payments are processed via third-party providers; the Network cannot be held liable for banking delays, payment errors, or third-party issues.
Users are responsible for the accuracy of information they provide.
The Network relies on third-party services including Stripe, Supabase, and Vercel, and is not responsible for their outages or breaches.
Limitation of Liability: The Network is provided "as is" and "as available." Liability is limited to the greater of the amount paid for the disputed service or USD $100. No liability for indirect, incidental, or punitive damages.
Users are responsible for compliance with all local, state, and federal laws.

8.Termination & Enforcement

The Network may suspend, deactivate, or terminate accounts for misuse, fraud, inaccurate information, or security risks.
Warnings are provided where feasible; serious violations may result in immediate action.
Users may appeal; final decisions are at the Network's discretion.
Inactive accounts: Deactivated after 90 days; reactivation allowed.
Financial disputes: Funds may be held during the 2-day dispute window; partial or full refunds may be issued depending on circumstances.

9.Data & Privacy

Refer to the Privacy Policy for detailed information on data collection, use, and protection.
Collected information includes name, email, location, service types, availability, service requests, payment info, and technical and usage data.
Limited Data Sharing: Only shared as necessary to fulfill service requests.
User data is handled with the highest standard of care.
Retention & Deletion: Data retained only as necessary for operations, compliance, and legal obligations. Users may request deletion where feasible.

10.General Terms

Entire Agreement: These Terms, the Privacy Policy, and any posted policies constitute the complete agreement.
Modifications: Terms may be updated; continued use constitutes acceptance.
Governing Law & Venue: Governed by the laws of the state where the Network is headquartered.
Dispute Resolution & Arbitration: Informal resolution first; then binding arbitration under AAA rules, unless small claims court applies.
Force Majeure: Not liable for delays or failures beyond reasonable control.
No Waiver: Failure to enforce does not waive rights.
Severability: Invalid provisions do not affect remaining Terms.
Assignment: Users may not assign rights; Network may assign in business transfers.
Survival: Sections on payments, confidentiality, liability, and dispute resolution survive termination.
